Terms of Service

1. Definitions

• • “Platform” means the EngagedLab web application, APIs, and related services accessible at engagedlab.co.uk and associated domains. EdTechLab.co.uk is the official website of EdTechLab LTD, the company behind the Platform.
• • “User” means any individual who creates an account or accesses the Platform, including Educators, Administrators, and Learners.
• • “Educator” means a User who creates, uploads, or manages educational content on the Platform.
• • “Learner” means a User who accesses and interacts with educational content through the Platform.
• • “Institution” means a university, college, training provider, or organisation subscribing to an institutional plan.
• • “Content” means any educational materials, labs, quizzes, challenges, or other resources created or uploaded on the Platform.
• • “Generated Content” means interactive labs and supplementary materials produced by our AI pipeline from Source Content.
• • “Source Content” means original materials uploaded by Educators for transformation.

2. Account Registration & Eligibility

2.1. You must be at least 16 years old (or 13 in the US) to create an account. If you are accessing through an Institution, the Institution is responsible for ensuring eligibility.

2.2. You must provide accurate, complete registration information and keep it current. You are responsible for maintaining the confidentiality of your login credentials.

2.3. You must not share your account or allow others to access it. Each User must have their own account.

2.4. We reserve the right to suspend or terminate accounts that violate these Terms or that show fraudulent, abusive, or harmful behaviour.

3. Permitted Use

3.1. Educational Purpose: The Platform is designed for creating, delivering, and managing interactive educational content. Use outside educational contexts is not supported.

3.2. You agree not to:

• • Reverse engineer, decompile, or attempt to extract source code from the Platform
• • Use automated scraping, bots, or data mining tools against the Platform
• • Circumvent rate limits, access controls, or usage restrictions
• • Upload malicious content, malware, or materials that infringe third-party rights
• • Use the Platform to harass, discriminate, or engage in unlawful activity
• • Resell, sublicense, or redistribute the Platform without written authorisation
• • Use AI-generated content in ways that misrepresent human authorship for academic credit

3.3. API Usage: Access to our APIs is subject to published rate limits and fair use policies. Intentional abuse of API endpoints may result in immediate suspension.

4. Content Ownership & Intellectual Property

4.1. Your Source Content: You retain all intellectual property rights in Source Content you upload. By uploading, you grant EngagedLab a non-exclusive, worldwide licence to process, transform, and store the content solely for the purpose of delivering the Service.

4.2. Generated Content: Interactive labs and AI-enriched materials generated from your Source Content are owned by you (or your Institution). EngagedLab retains no ownership rights in Generated Content.

4.3. Platform IP: The Platform itself—including its architecture, algorithms, UI design, trade marks, and proprietary code—is owned by EdTechLab LTD and protected by intellectual property laws.

4.4. Feedback: If you provide suggestions, feature requests, or other feedback, you grant EngagedLab an unrestricted, irrevocable licence to use that feedback to improve the Platform.

4.5. Content Responsibility: You are solely responsible for ensuring that Source Content does not infringe any third-party copyright, trademark, or other rights. EngagedLab is not liable for infringement caused by user-uploaded content.

5. Subscription Plans & Payment

5.1. Free Tier: Individual Educators may use limited Platform features at no charge, subject to usage limits. The free tier may be modified or discontinued with 90 days’ notice.

5.2. Paid Plans: Pro, Department, and Enterprise plans are billed monthly or annually as specified at checkout. Prices are exclusive of applicable taxes.

5.3. Payment Processing: Payments are processed by Stripe. By subscribing, you agree to Stripe’s terms. We do not store credit card numbers.

5.4. Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No pro-rata refunds are provided for partial periods.

5.5. Price Changes: We may adjust pricing with at least 30 days’ notice. Existing subscribers are locked into their current pricing for the remainder of their billing cycle.

6. AI-Generated Content Disclaimer

6.1. EngagedLab uses artificial intelligence (including large language models) to generate interactive content, quizzes, and learning materials. While we implement quality controls, AI-generated content may occasionally contain errors, inaccuracies, or inappropriate material.

6.2. Educator Review: All AI-generated content is presented to Educators for review before publication. Educators are responsible for verifying accuracy, appropriateness, and alignment with their pedagogical goals.

6.3. EngagedLab does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content. The AI augments educator expertise—it does not replace professional pedagogical judgement.

7. Service Level & Availability

7.1. We target 99.9% uptime for the Platform. Planned maintenance is performed during low-usage hours (typically 02:00–05:00 GMT) with advance notice.

7.2. Enterprise and Department plan subscribers receive formal SLA commitments as specified in their service agreements.

7.3. We are not liable for service interruptions caused by force majeure events, third-party provider outages, or circumstances beyond our reasonable control.

8. Limitation of Liability

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGAGEDLAB’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

8.2. IN NO EVENT SHALL ENGAGEDLAB BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF EDUCATIONAL OUTCOMES.

8.3. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other matters that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless EngagedLab, its directors, officers, and employees from any claims, damages, or expenses arising from: (a) your use of the Platform, (b) Content you upload or create, (c) your violation of these Terms, or (d) your violation of any third-party rights.

10. Termination

10.1. By You: You may close your account at any time through the account settings page. Your Content will be retained for 30 days before deletion, during which time you may export it.

10.2. By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in abusive behaviour, or fail to pay subscription fees after reasonable notice.

10.3. Effect: Upon termination, your right to use the Platform ceases. Sections relating to IP, limitation of liability, indemnification, and governing law survive termination.

11. Governing Law & Dispute Resolution

11.1. These Terms are governed by the laws of England and Wales.

11.2. For institutional agreements, disputes shall first be addressed through good-faith negotiation for 30 days, followed by mediation under the CEDR rules, and ultimately by the courts of England and Wales.

11.3. For individual users in the EU, you retain the right to bring proceedings in the courts of your country of residence.

12. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email and an in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

If you disagree with changes, you may terminate your account before the effective date.
